Please read these Terms of Service ("Terms", "Terms of Service") carefully before using any AskED products, including mobile applications, web applications, desktop software, hosted services, APIs, websites, and related platforms or services (collectively, the "Service") operated by Robis Elections, Inc. ("us", "we", or "our").
Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, organizations, jurisdictions, contractors, poll workers, administrators, and others who access or use the Service.
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access or use the Service.
1. Accounts
When you create or are assigned an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so may constitute a breach of these Terms and may result in suspension or termination of your account.
You are responsible for safeguarding the credentials used to access the Service, including passwords, authentication codes, tokens, and device access. You are responsible for all activities that occur under your account, whether such access is authorized by you or not.
You agree not to disclose your credentials to any third party. You must notify us or your election administrator immediately upon becoming aware of any breach of security or unauthorized use of your account.
We reserve the right to suspend, disable, or terminate accounts that violate these Terms or present operational, security, or legal risks.
2. Use of Service
Robis Elections, Inc. grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service solely for authorized election administration, operational, training, reporting, communication, or related organizational purposes in accordance with these Terms.
You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable local, state, federal, or international law or regulation;

Access or attempt to access data, systems, or accounts without authorization;

Interfere with, disrupt, or compromise the integrity, security, or performance of the Service;

Circumvent or disable security-related features of the Service;

Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying technology from the Service except where expressly permitted by applicable law;

Upload, distribute, or transmit malicious code, malware, ransomware, spyware, or harmful content;

Impersonate another person or entity or falsely represent affiliation with any organization;

Use automated means, bots, scraping tools, or unauthorized scripts to access or interact with the Service;

Use the Service in a manner that could damage, disable, overburden, or impair the operation of the Service or related infrastructure.
3. SMS and Electronic Communications
By providing your phone number and maintaining an active account, you consent to receive automated text messages, notifications, emails, and other communications related to your use of the Service.
These communications may include:

Two-factor authentication (2FA) login codes;

Election site alerts and operational notifications;

Product or service status notifications;

Customer support or issue notifications;

Workflow, assignment, or administrative alerts.
Message frequency may vary based on account activity and operational requirements. Message and data rates may apply.
Mobile phone numbers collected for SMS communications will not be sold, shared, rented, or disclosed to third parties or affiliates for marketing or promotional purposes.
You understand that delivery of communications may be impacted by factors outside our control, including carrier availability, internet connectivity, device configuration, or third-party service interruptions.
4. User Content
The Service may allow users to upload, submit, transmit, store, or otherwise make available information, documents, forms, text, graphics, images, videos, audio, reports, logs, or other materials ("Content").
You are solely responsible for the Content you upload or submit through the Service, including its legality, accuracy, reliability, and appropriateness.
By submitting Content to the Service, you grant Robis Elections, Inc. a limited, non-exclusive license to host, store, process, transmit, reproduce, display, and use such Content solely as necessary to provide, maintain, secure, back up, and improve the Service.
You represent and warrant that you have all rights, permissions, and authority necessary to submit such Content and that the Content does not violate any applicable law, regulation, or third-party rights.
5. Intellectual Property
The Service and its original content, software, features, functionality, branding, trademarks, logos, designs, interfaces, workflows, and related materials are and shall remain the exclusive property of Robis Elections, Inc. and its licensors.
The Service is protected by copyright, trademark, trade secret, and other intellectual property laws of the United States and other jurisdictions.
Except as expressly authorized in writing, you may not copy, modify, distribute, sell, sublicense, lease, or create derivative works based upon the Service or any portion thereof.
6. Availability and Modifications
We reserve the right to modify, suspend, discontinue, or restrict access to all or any portion of the Service at any time without notice.
We do not guarantee that the Service will always be available, uninterrupted, timely, secure, or error-free.
The Service may be unavailable from time to time due to maintenance, updates, system failures, security events, network interruptions, third-party outages, or circumstances beyond our reasonable control.
7. Third-Party Services
The Service may integrate with or depend upon third-party systems, infrastructure providers, cloud hosting services, authentication providers, mapping services, analytics providers, communication platforms, or other external technologies.
Robis Elections, Inc. does not control and is not responsible for the availability, functionality, accuracy, or policies of third-party services.
Your use of third-party services may also be governed by separate terms and privacy policies provided by those third parties.
8. Termination
We may suspend or terminate your account or access to the Service immediately, without prior notice or liability, for any reason whatsoever, including but not limited to violations of these Terms, security concerns, operational disruptions, misuse of the Service, or legal requirements.
Upon termination, your right to use the Service shall immediately cease.
Sections of these Terms that by their nature should survive termination shall survive termination, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification obligations, and governing law provisions.
9. Disclaimer of Warranties
Your use of the Service is at your sole risk.
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, statutory, or otherwise.
To the fullest extent permitted by law, Robis Elections, Inc. disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, and course of performance.
Robis Elections, Inc. does not warrant that:

The Service will function uninterrupted, secure, or available at any particular time or location;

Defects or errors will be corrected;

The Service is free of viruses or harmful components;

The results obtained from using the Service will meet your expectations or requirements.
10. Limitation of Liability
To the maximum extent permitted by law, Robis Elections, Inc., including its officers, directors, employees, contractors, affiliates, licensors, suppliers, and partners, shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:

Loss of profits;

Loss of data;

Service interruptions;

Operational delays;

Loss of goodwill;

Business interruption;

Security incidents;

Unauthorized access to or alteration of content or transmissions.
This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other legal theory, even if advised of the possibility of such damages.
In no event shall the total aggregate liability of Robis Elections, Inc. arising out of or relating to the Service exceed the amount paid, if any, by the user or organization for access to the Service during the twelve (12) months preceding the claim.
11. Indemnification
You agree to defend, indemnify, and hold harmless Robis Elections, Inc., its officers, employees, contractors, affiliates, licensors, and partners from and against any claims, damages, obligations, losses, liabilities, costs, or expenses, including reasonable attorneys’ fees, arising from:

Your violation of applicable laws or regulations;

Your Content submitted through the Service;

Your infringement of any third-party rights.
12. Governing Law
These Terms shall be governed and construed in accordance with the laws of the United States and the State of Illinois, without regard to conflict of law principles.
Users are responsible for complying with all applicable local, state, and federal laws and regulations related to their use of the Service.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such rights.
These Terms constitute the entire agreement between you and Robis Elections, Inc. regarding the Service and supersede any prior agreements or understandings relating to the Service.
13. Changes to These Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time.
If a revision is material, we may attempt to provide reasonable notice prior to the updated Terms taking effect. What constitutes a material change shall be determined at our sole discretion.
By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Service.
